Facebook shares fall as lock-up period expires

(Reuters) - Facebook Inc shares fell 4 percent in busy trade early on Wednesday as the company allowed employees to start selling some stock.

The world's largest social network waived a provision that prevented employees from selling shares until November 14. As a result, Facebook staffers were able to sell their vested shares on Monday. About 234 million shares held by employees were eligible for sale in the public market.

However, because the markets were closed on Monday and Tuesday in the wake of powerful storm Sandy, Wednesday was the first trading day.

"I don't really understand why Facebook (chose) to unlock virtually all of its compensation within the year of its IPO, but they did," said Michael Pachter, an analyst with Wedbush Securities.

"They made a mistake and set the company up for volatility."

More than 1 billion Facebook shares held by employees, insiders and early investors are set to become available for trading by year's end.

Facebook suffered a painful public debut earlier this year, as investors worried about the company's ability to keep up revenue growth and the large pool of additional shares in the lock-up that are now hitting the market.

Wall Street also has cast a gimlet eye on Facebook and its ability to attract mobile revenue as more people turn to smartphones and tablet devices to access the Web.

Last week, Facebook said it increased mobile advertising revenue at a faster than expected pace, totaling $150 million in the third quarter. Estimates had pegged mobile revenue at $40 million to $50 million in the second quarter.

Shares of Facebook are down more than 40 percent since the IPO. The stock was down 3.8 percent at $21.11 on Wednesday morning, off an earlier low at $20.73.

Exclusive: JDA Software on the block - sources

(Reuters) - Enterprise technology maker JDA Software Group Inc is exploring a sale and has hired JPMorgan Chase & Co to advise on the process, people familiar with the matter said.

The sale process is at an advanced stage. The company has received interest from multiple parties, including private equity firms and strategic buyers, the sources said.

JDA Software, which has a market capitalization of $1.5 billion, provides customized software applications to customers ranging from government and aerospace defense contractors to hospitality and media organizations.

Representatives for the company declined to comment. JPMorgan was not immediately available for comment.

In March, JDA Software disclosed in a filing with the Securities and Exchange Commission (SEC) that it would delay its annual report for year ending December 31, 2011, citing a continual inquiry from the staff of the SEC's division of Enforcement and Corporation Finance over accounting matters relating to the company's financial statements.

In August, JDA Software restated its financial statements for the year ending December 31, 2011.

Also in March, New York-based Praesidium Investment Management Company LLC, also disclosed that it had taken a stake in the company and said it expected to engage in communications with members of the company's board of directors, shareholders and other relevant parties concerning the business, management and operations.

Shadow banking in?China?has been a growing problem since 2008. However, no one knows exactly how large it exactly is. Estimates usually put the size in the order of tens of trillion, but nobody can come up with an exact figure.

Chinese banks work closely with trust companies or other entities by packaging trust loans into WMPs, offering investors a higher yield than conventional bank deposits can. These products are mainly sold by commercial banks either at their branches or online. Many of the funds that were obtained through these channels went into?real estate?development, infrastructure projects, the manufacturing sector and local government financing vehicles. Banks are playing the role of?middlemen? between the recipients and investors.

It is difficult to measure the precise amount and value of WMPs?

There are more than 20,000 WMPs in circulation, a dramatic increase from only a few hundred just five years ago. Given that the number is so big and hard to manage, China?s shadow banking sector has become a potential source of systemic financial risk over the next few years. Particularly worrisome is the quality and transparency of WMPs. Many assets underlying the products are dependent on some empty?real estate?property?or long-term infrastructure,and are sometimes even linked to high-risk projects, which may find it impossible to generate sufficient cash flow to meet repayment obligations.

Moreover, many WMPs are not even linked to any specific asset, rather, just to a pool of assets, whose cash inflows may often not match the timing of scheduled WMP repayments.

China?s shadow banking is contributing to a growing liquidity risk in the financial markets. Most WMPs carry tenures of less than a year, with many being as short as weeks or even days.Thus in some cases short-term financing has been invested in long-term projects, and in such situations there is a possibility of a liquidity crisis being triggered if the markets were to be abruptly squeezed.

Ryan rallies GOP faithful in Wisconsin

MILWAUKEE - Vice presidential hopeful Paul Ryan is rallying the Republican faithful at a fundraiser in his home state of Wisconsin.

Ryan appeared at a fundraiser in Milwaukee on Saturday evening. He told donors in a 15-minute speech that President Barack Obama is driving the country deeper into debt.

The price of admission ranged from $250 for donors under age 35 to $100,000 for couples who wished to be designated "Founding Partners." Jon Hammes, finance chairman for the Mitt Romney campaign in Wisconsin, told the crowd the event had netted $2.8 million.

The fundraiser comes two days after President Barack Obama made an appearance on the University of Wisconsin-Madison campus. A Marquette University Law School poll released earlier this week showed Obama with an 11-point lead over Mitt Romney in Wisconsin.

Romney: US should be more assertive on world stage

WASHINGTON (AP) ? Republican presidential nominee Mitt Romney is proposing the U.S. take a more assertive role in Syria, put conditions on aid to Egypt and tighten sanctions on Iran as he looks to use a planned foreign policy address to paint President Barack Obama as a weak leader who has limited America's influence on global affairs.

Declaring that "it's time to change course in the Middle East" and accusing Obama of "passivity," Romney plans to call Monday for the U.S. to work with other countries to arm rebels in Syria with weapons that can defeat the "tanks, helicopters and fighter jets" that make up President Bashar Assad's army.

Romney also plans to call for tougher sanctions on Iran than those already in place, and plans to say he will condition aid to Egypt on continued support for its peace treaty with neighboring Israel. He will emphasize his commitment to a two-state solution for peace between Israelis and Palestinians, a process he dismissed during a secretly videotaped fundraiser in May.

Romney plans to make the comments at a major foreign policy speech at Virginia Military Institute. His campaign released excerpts of his prepared speech in advance. Aides previewing the speech in a conference call with reporters emphasized that the Republican, who took a hawkish tone throughout the GOP primary, would outline a "mainstream" foreign policy vision.

"Hope is not a strategy. We cannot support our friends and defeat our enemies in the Middle East when our words are not backed up by deeds," Romney plans to say in the address, adding that the U.S. should use its influence "wisely, with solemnity and without false pride, but also firmly and actively."

Romney's attempt to outline his approach as commander in chief comes amid turmoil in the Middle East and North Africa. Iran is believed to be pursuing a nuclear weapon, Syria is locked in a civil war, peace talks between Israel and the Palestinians are moribund, and anti-American protests have erupted in several countries. Attackers linked to al-Qaida killed four Americans in Benghazi, Libya, last month, including U.S. Ambassador Chris Stevens.

The Republican has given several foreign policy speeches throughout the campaign, including one in Reno, Nev., ahead of a weeklong trip abroad in the summer. That trip was fraught, with Romney offending his British hosts by questioning their security preparations for the Olympic Games and raising hackles among Palestinians who charged him with racism after he said culture was part of the reason Israelis were more economically successful than the neighboring Palestinians.

In the fall, Romney faced criticism for his hurried and harsh reaction to news of protests at the U.S. Embassy in Cairo and the near-simultaneous attacks in Libya. Before the administration knew of Stevens' death, Romney criticized Obama for sympathizing with the attackers. In the aftermath, top Republicans ? including Sen. John McCain, R-Ariz., the 2008 presidential nominee ? urged Romney to give a speech laying out his vision for U.S. foreign policy.

The Obama campaign dismissed Romney's planned Monday address as a rehashed attempt to fix past blunders.

"We are not going to be lectured by someone who's been an unmitigated disaster on foreign policy every time he sticks his toe in the foreign policy waters," campaign spokeswoman Jen Psaki told reporters aboard Air Force One on Sunday. The campaign prepared a TV ad calling Romney "reckless" and "amateurish" on foreign policy questions. Obama's aides also insisted Romney's speech included few specifics that were markedly different from the president's own record.

While Obama has held an edge in polls on handling foreign policy issues, Republican aides say the Benghazi attack ? and ensuing questions about possible intelligence failures and lax security at the Libya consulate ? has given Romney a new opportunity to criticize the president.

Now, following a strong debate performance, Romney will give the speech at the alma mater of former Secretary of State George Marshall, the architect of the Marshall Plan that rebuilt Europe in the wake of World War II. In the conference call previewing the speech, aides pointed to that connection to illustrate Romney's vision of leadership and engagement on the world stage. The advisers cast Romney as part of a long tradition of statesmen beginning with former President Harry Truman; adviser Rich Williamson said Romney would offer a "bipartisan" approach while aide Eliot Cohen referred to Romney as "very much in the mainstream of foreign policy."

Romney's outline of an approach to Syria comes at a critical time in part because the violence there has spilled over their border with Turkey. Defense Secretary Leon Panetta warned Saturday the conflict between those neighboring countries could embroil the broader region.

Romney aides said the candidate would not call for direct U.S. aid to arm the Syrian rebels, but said he would support providing them with enough force to force Assad from power. In the speech, Romney plans to emphasize Iran's ties to the Syrian government and insist the U.S., through allies, should "support the many Syrians who would deliver that defeat to Iran rather than sitting on the sidelines." That would allow the U.S. to "develop influence with those forces in Syria that will one day lead a country that sits at the heart of the Middle East."

Obama's administration still seeks a peaceful political transition, even though the president acknowledged in August that the likelihood of a soft landing for Syria's civil war "seems pretty distant."

Obama called on Assad to step down more than a year ago and has sought consensus at the United Nations on a diplomatic power-transfer plan, but has been stymied repeatedly by Russia and China. Obama has stepped up U.S. humanitarian aid and nonlethal assistance, now at a combined $175 million, to the political opposition.

But he has opposed directly providing weapons to the rebels or using U.S. air power to prevent Syrian jets from flying.

The administration says U.S. arms assistance would further militarize Syria and make it even harder to stabilize the country after Assad's downfall, which it insists is inevitable. And it says it still doesn't know the different fighting groups well enough to provide them guns, considering the small but growing influence of Islamist extremists among their ranks.

Osborne to slash welfare but quiet on growth

BIRMINGHAM, England (Reuters) - Britain's Conservatives would slash government spending on welfare by 10 billion pounds a year if re-elected, Chancellor George Osborne said on Monday, though he offered few ideas on how to bring the economy out of recession.

The 2015 election is likely to be decided on the health of the economy, the pace of deficit reduction and the areas of spending and taxation on which each party would focus to balance stretched public finances.

The Conservatives, who had bet that growth would reduce the deficit and help them win the next election, are struggling with a recession and a series of blunders which have put them about 10 points behind the opposition Labour Party in opinion polls.

Chancellor of the Exchequer Osborne and Prime Minister David Cameron are trying to use their party's annual conference in Birmingham to project an image of economic prudence and have promised more spending cuts across the board.

They hope voters will welcome a further 10 billion pounds of cuts in welfare spending - an area often portrayed in the media as rife with scroungers and waste.

"How can we justify giving flats to young people who have never worked?" Osborne told party supporters before a large Union Jack-design backdrop at a party conference whose slogan is "Britain can deliver".

"We will have to find greater savings in the welfare bill," he said.

But his plans may cause tension with the government's Liberal Democrat junior coalition partners. Osborne dismissed their calls for a "mansion tax" on expensive homes or a further tax on the wealthy.

"This party of home ownership will have no truck with it," he told the conference. "The great bulk of savings must come from cutting government spending - not increasing taxes."

Osborne, a close Cameron ally who was booed by crowds at a Paralympics medal ceremony last month, said Western democracies faced impoverishment relative to wealthy emerging economies unless they reformed welfare, education and tax.

In the 35-minute speech, Osborne said the Conservatives must appeal to those who aspired to improve their situation, adding it was a delusion to believe public finances could be put back on track by raiding the "wallets of the rich".

Britain's welfare budget is estimated at 207 billion pounds ($335.2 billion) in 2012/13 - almost a third of total spending.

Labour, which wants to see more taxes on banks and the rich, says Osborne has cut spending too quickly and choked demand. The government says softening its austerity plan would endanger Britain's recovery by putting its low borrowing costs at risk.

But many Conservative lawmakers are worried that Osborne cannot revive growth. In one of the biggest set-piece speeches of the political calendar, the 41-year-old offered few new ideas on how to nurture Britain's stagnating economy back to health.

OSBORNE'S GAMBLE

Osborne's March budget forecast he would have to cut borrowing by 49 billion pounds in the two years following the 2015 election, after weak growth put paid to his plan to eliminate the record deficit before the election.

Osborne has staked his reputation on preserving Britain's AAA sovereign credit rating. A 375 billion pound central bank-funded bond-buying drive has reduced the cost of government borrowing to record lows.

But the underlying budget deficit has risen by a fifth so far this year compared to the same period last year and public sector debt rose to more than 1 trillion pounds at the end of August - 66 per cent of gross domestic product.

Investors say Osborne, who announces revised economic and borrowing forecasts on December 5, will be forced to either cut spending more deeply or extend austerity well after the next election to honour his pledge to tame the deficit.

Osborne has refused to say how far behind schedule his deficit reduction plan is but he rebuffed critics who say he should pump up demand with government spending.

"Our critics would gamble everything: our credibility, our financial stability, our low interest rates, the cost of our debt they would risk everything on the dubious idea that a few billion more of spending would dramatically improve the fortunes of the trillion-and-a-half pound British economy," he said.

Osborne said he would allow companies to offer shares in the business to new employees in return for giving up certain dismissal and redundancy rights. He also said shale gas could get generous tax breaks.

Shaving more off the welfare budget would allow cuts in other government departments to be held at a similar pace as is being enforced in current spending plans which run until the end of the 2014/15 fiscal year, according to Treasury calculations.

The government's next spending review, expected before 2015, will cover much of the 2015-2020 parliament and set the tone for the election battle.

Space station in no need to move to avoid debris

(AP) ? Russia's Mission Control Center said Wednesday it dropped an earlier plan to move the International Space Station into a different orbit to avoid possible collision with space debris after additional calculations showed that there was no such threat.

Mission Control Center said in a statement carried by Russian news agencies that a fragment of space debris would fly by too far to pose any danger to the space outpost, so a plan to fire booster rockets to carry out the maneuver on Thursday at 07:22 a.m. Moscow time (0322 GMT) was canceled.

The space station performs evasive maneuvers when the likelihood of a collision exceeds one in 10,000.

NASA estimates that more than 21,000 fragments of orbital debris larger than 10 centimeters (3.9 inches) are stuck in earth's orbit, and experts worry that orbiting junk is becoming a growing problem for the space industry.

There are six astronauts ? three Russians, two Americans and one from Japan ? onboard the orbiting laboratory.

(AP) ? Pizzeria owner Bobby Schilling catapulted to Congress two years ago with robust tea party support, the endorsement of "Joe the Plumber" and a sharply partisan campaign, making him one of five new Republican congressmen in Illinois who helped the GOP win control of the U.S. House.

This year, the energetic businessman has taken a different tack, making unity a priority in his formerly Democratic district. He now refers to himself as "center right," and his first one-minute television ad mentioned ? three separate times ? that being a congressman is not a "Democrat or Republican issue."

"You have to have more compromise," Schilling told The Associated Press.

Republicans across Illinois are echoing that tone as Democrats mount a fierce campaign to reverse the GOP's gains in 2010 and win five competitive U.S. House districts. Democrats are counting on a big turnout in President Barack Obama's home state, new congressional boundaries that forced some Republican lawmakers into more Democratic-leaning districts and big advertising dollars.

Republicans surged in Illinois in 2010 when only 50.5 percent of Illinois voters went to the polls, in contrast to the 71 percent who voted when Obama was elected in 2008.

"If there were any state where he should have coattails, it should be in Illinois," said Doug House, Democratic Party chairman in Rock Island County, where Schilling is facing Cheri Bustos, a former health care executive and alderman. "We should be able to expect some assistance from the top of the ticket."

The Democratic Congressional Campaign Committee ranks Illinois, along with California and New York, among their top priorities in the fight to retake the House. The committee has opened more voter outreach offices in Illinois and poured $6 million into television advertising buys in the state. More than half the money went to the Chicago area, where U.S. Rep. Judy Biggert faces a tough challenge from Democratic former Rep. Bill Foster and tea party favorite Joe Walsh is running opposite Iraq war veteran Tammy Duckworth.

At the same time, two little-known challengers are getting attention in the Chicago-area district Democratic Rep. Jesse Jackson Jr. has held since 1995. While Jackson is widely expected to win in November, his mysterious, months-long medical leave and ongoing House Ethics Committee investigation of ties to imprisoned former Illinois Gov. Rod Blagojevich have been an embarrassment to the party.

In downstate Illinois, Democrats say the sudden retirement of longtime Republican U.S. Rep. Tim Johnson leaves an opening for Democrat David Gill, a Democrat, over Rodney Davis, a former aide to Republican Rep. John Shimkus.

Republicans are mounting equally determined campaigns.

The National Republican Congressional Committee has matched the Democrats in spending $6 million on ads, especially in Schilling's district. They hope to pick up a southern Illinois district left open by retiring Democratic Rep. Jerry Costello, claiming it has been trending Republican for years. Jason Plummer, a Republican businessman and former lieutenant governor candidate, faces Bill Enyart, the former chief of the Illinois National Guard.

Just this past weekend, the U.S. Chamber of Commerce bought more than $1 million in television ads against two Democrats ? $500,000 against Gill and $550,000 against Brad Schneider, the Democratic challenger in Chicago's northern suburbs.

"The Democrats' road to the majority has obviously hit a dead end," said Katie Prill, a Midwest spokeswoman for the NRCC.

By all accounts, the five races will be close. The difference likely could be in the new map, which Democrats crafted because they control both the General Assembly and the governor's office.

It already cost the Republicans one seat. Rep. Don Manzullo, a House veteran of nearly 20 years, lost a tight primary battle to freshman Republican Adam Kinzinger, who had moved to a new district to avoid running against Jackson when the new map pitted them against each other.

The unusually outspoken Walsh, a regular commentator on conservative national TV shows, also considered challenging one of his GOP colleagues after his district was altered to favor Democrats. He ultimately chose to stay put and battle Duckworth, a former combat helicopter pilot who lost both legs when she was shot down in Iraq.

Duckworth has raised $2.5 million so far, and more money than any other Illinois candidate in the second quarter. Polls put her ahead of Walsh, who is repeatedly in the headlines with unorthodox remarks in one of the most diverse congressional districts in the state.

For Schilling, about half of his 17th District is new territory. It now extends from the Iowa state line to parts of the Rockford and Peoria areas in central Illinois, both historically friendly areas for Democrats with manufacturing bases and strong union presence. He says his biggest achievements include advocating for the Rock Island Arsenal in conjunction with a Democrat.

Before Schilling, the district had been held by a Democrat since the early 1980s. Bustos, the Democrat, received an early endorsement from Illinois' senior U.S. senator, Dick Durbin, the No. 2 Democrat in the Senate. Now it's Bustos criticizing Schilling for being the incumbent.

"We have a congressman who is misguided on his priorities," Bustos said in an interview. "What has (resonated with voters) is the absolute disgust with this current Congress and the gridlock over getting things done."

Schilling had a slight edge in fundraising, but the gap has been closing. In the most recent quarter, Bustos raised $470,000, compared with Schilling's $360,000. Before that, the incumbent had $945,000 on hand, compared with Bustos' $820,000, according to recent campaign finance reports.

The pizzeria owner isn't the only GOP incumbent shifting tactics.

Biggert, who first took office in 1999 and has built a reputation as a centrist, admits this is her toughest campaign ever. The new 11th Congressional District contains less than half of her old district. While it used to be mostly Republican-leaning Chicago suburbs, it now includes Aurora, the state's second-largest city, with a more than 40 percent Hispanic population.

Biggert has added a translator to her staff for her neighborhood meet-and-greets. "I want them to know that I'm a person that really listens to what they have to say," said Biggert, who touts her work to extend a flood insurance program and expand services to homeless children.

Her opponent, Foster, is a former physicist who lost in another district in 2010. He has been closing the fundraising gap and outraised her in the most recent quarter, finishing with about $1.27 million cash on hand, compared with her $1.5 million, according to the most recent campaign finance data.

The other close race will be in Chicago's northern suburbs, a district of upscale and working-class communities once represented by Mark Kirk, a moderate Republican who is now a U.S. senator.

Both candidates liken themselves to Kirk. They've pushed their business experience and tried to portray themselves as independents. Bob Dold, the Republican incumbent, is emphasizing his pro-abortion rights stance, while Schneider, the Democrat, touts his campaign contributions to Kirk in the past. Each claims to have made more than 200,000 calls to voters over the summer.

However, Dold has outraised Schneider by far, with $2.9 million during the election cycle, the most of any Illinois candidate. He has more than $2.1 million on hand, compared with Schneider's nearly $570,000. He said he isn't rattled by the Democrats targeting his swing district.

"They always have," Dold said.

ICIS, the European benchmark provider for the gas markets has announced the launch of five daily price assessments for the new virtual Belgian hub, the Zeebrugge Trading Point (ZTP).

The additional pricing information has been developed in response to the launch of Belgium's new transmission model and gas trading platform, the ZTP.

This new model will simplify access to the Belgian network, implementing decoupled entry/exit bookings of transport capacity and reducing transmission costs. In addition, the new virtual trading point will provide benefits to market participants without transport capacity, particularly financial institutions.

Following an extensive market consultation over the summer, ICIS is launching five price assessments for the Zeebrugge Trading Point to its European spot gas pricing coverage. The prices include Day-ahead, Weekend, Front-month, Front-quarter and Front-season contracts, providing users with a set of new pricing information that will support their daily trading and negotiations.

ICIS will continue to publish prices and indices at the physical Zeebrugge, or ZeeBeach hub.

The new coverage is part of ICIS's European Spot Gas Markets report, which provides daily gas benchmarks to the European spot gas trading arena.
